This work reflects the revised Kentucky Business Corporation Act enacted by the Kentucky legislature in 1988. This Act, patterned after the ABA's Revised Model Business Corporation Act, represents the most significant and extensive revision of Kentucky corporation law since that law was originally enacted in 1972. The corporation as a business form in Kentucky is examined in detail. Three different aspects of a corporation—its organization, its operation, and finally, its dissolution—are reviewed and a number of corporation law and practice forms, covering any typical situations, are included.
